Business Participation Terms

Effective date: 14 March 2026

1) Scope

These terms govern business participation on Club SoBo operated by Spotlight Ventures Limited (company number 17076611), registered in England and Wales.

2) Approval and onboarding

  • Business access is subject to platform approval and ongoing compliance.
  • Approval may be refused, paused, or withdrawn for legal, fraud, quality, or reputational risk reasons.

3) Pricing and commercial model

  • Base participation is free unless separately agreed.
  • Optional Business Highlights placements may be offered where enabled.
  • Paid visibility improves exposure opportunity only and does not guarantee traffic, revenue, or profitability.

4) Offer and fulfilment obligations

  • Businesses must publish lawful, accurate, non-misleading offers capable of fulfilment.
  • Businesses are solely responsible for fulfilling their own offers, goods, services, and customer obligations.
  • Offer limits, exclusions, expiry windows, and redemption terms must be clear.
  • Businesses must not refuse valid redemptions without lawful reason.

5) Staff and scanner controls

  • Businesses are responsible for staff account governance and credential security.
  • Fraudulent or abusive staff scanner activity may lead to immediate scanner pause/suspension and investigation.

6) Data use and confidentiality

  • Businesses may access only data needed for redemption operations, customer support, and dispute handling.
  • Business users must keep that data confidential and use it only for authorised operational purposes.
  • Businesses remain responsible for their own legal compliance when acting as independent controllers outside platform scope.

7) Platform intervention and liability boundaries

  • Club SoBo may edit, hide, suspend, or remove offers/accounts for legal, fraud, safety, or policy reasons.
  • Nothing excludes liability where exclusion is prohibited by law.
  • Subject to that, Club SoBo is not liable for a business’s internal operational failures, stock/capacity issues, or merchant profitability outcomes.
